CLG represented TJ’s in negotiating the LOI, preparing due diligence, dissolving a Massachusetts LLC, and drafting and negotiating transition services agreements, retention bonus agreements, employment agreements, a Rollover Agreement, and the Asset Purchase Agreement. The purchaser is a New York-based engineering company that is focused on smart solutions for existing buildings to meet the challenges of efficiently operating and maintaining the HVAC’s complex infrastructure systems.
